IPA Agent Agreement — Key Sections
Section 1: Appointment & Authority
IPA appoints you as an authorized agent to solicit, quote, and bind insurance on behalf of IPA's carrier partners.
Section 2: Commission Schedule
Your commission split depends on your stage. Stage 1: 65/55. Stage 2: 85/80. Detailed schedule attached as Exhibit A.
Section 3: Book of Business
All business written under IPA codes is owned by IPA. Buyout vesting schedule begins on your start date.
Section 4: Profit Sharing
You participate in carrier contingency bonuses. Stage 1: 50% of your pro-rata share. Stage 2: 80%.
Section 5: Term & Termination
3-year initial term. 90-day written notice. Auto-renewal after initial term.
Section 6: Non-Compete & Non-Solicitation
24-month restriction on soliciting IPA-sourced clients after termination. Does NOT apply to personal relationships.
Section 7: Technology & Tools
Access to all IPA technology platforms included at Stage 1. Stage 2 platform fee: $750/month.
Section 8: Compliance
Agent maintains active P&C license, E&O coverage, and complies with all carrier guidelines and state regulations.
